In applying for Material Input Approval through Envirocann, I agree to:*

1. Submit to Envirocann and/or affiliates non-refundable annual Material Input Approval fee prior to receiving Material Input Approval.

2. Immediately notify Envirocann of any potential noncompliance with any regulations.

3.Immediately notify Envirocann of any change in processes that affect compliance as a business. Immediately cease all claims of Material Input Approval in the event approval is suspended, withdrawn, or revoked.

4. I understand that an audit may be performed on this operation and may require a laboratory analysis for pesticides, heavy metals, and chemical residues. In the event of contamination, at the levels that exceed what is allowed by Regulations, that Material Input Approval will be deemed ineligible to make any Material Input Approval claims provided by Envirocann. In the case that there has been intentional application of a substance that is not allowed, the producer will not be eligible to sell the product as Approved by Envirocann and must undergo the adverse action process described in Envirocann Client Guide.

5. I understand I am granted non-exclusive, non-transferable permission to use the logos provided by Envirocann ("Logos") solely for the purpose of marketing and promoting products or services that have been certified by Envirocann. The Client agrees to use the Logos in accordance with Envirocann's branding guidelines and standards.

6. In the event that the Client's annual Material Input Approval contract with Envirocann expires or is not renewed ("Lapse"), the Client shall cease all use of the Logos immediately upon the expiration of the contract term. The Client acknowledges that any continued use of the Logos after the expiration of the contract term constitutes a breach of this agreement.

7. The Client shall be provided with a 14-day grace period following the expiration of the contract term to renew their annual Material Input Approval contract with Envirocann ("Renewal Period"). During the Renewal Period, the Client may continue to use the Logos for marketing and promotional purposes.

8. If the Client continues to use the Logos on marketing materials after the expiration of the Renewal Period, the Client is deemed to have committed to renewing their annual Material Input Approval contract with Envirocann for a new contract term. The Client agrees to pay the applicable fees for the new contract term and any additional services provided by affiliates as outlined in this agreement.

9. I understand I am granted non-exclusive, non-transferable permission to use the Material Input
Approval logos provided by Envirocann ("Logos") solely for the purpose of marketing and promoting
products or services that have been approved by Envirocann. The Client agrees to use the Logos in
accordance with Envirocann's branding guidelines and standards.

10. In the event that the Client's annual contract with Envirocann expires or is not renewed ("Lapse"), the Client shall cease all use of the Logos immediately upon the expiration of the contract term. The Client acknowledges that any continued use of the Logos after the expiration of the contract term constitutes a breach of this agreement.
