Recurring Payments:
Client agrees to recurring billing of amount listed in form total per [month/quarter/year] starting on date of application submission.

Cancellations & Refunds:
Either party may terminate the agreement with [30] days written notice. Payments already made are non-refundable.

Late Payments:
Late payments may incur a [$25] fee and/or interest at [1.5%] every 10 days. Certification may be suspended if payment is more than [30] days past due.

Disputes:
Client agrees to first attempt to resolve any billing dispute directly with SameTeam/Envirocann before initiating a charge back or third-party claim.

Agreement:*

By engaging with Envirocann & SameTeam and/or submitting an application for certification services (including but not limited to EnviroClean, Comparable-to-Organic, or OCal Certification, and EnvirOganic Approval), you (“Client”) agree to the following terms and conditions:

1. Regulatory Compliance

Comply with all applicable state and local regulations regarding cannabis, including but not limited to land use, water quality, environmental stewardship, and resource management.

Establish and implement an Envirocann Management Plan (EMP) and include any other information deemed necessary by Envirocann to determine compliance, including origin of inputs and information on adjacent land substances.

2. Records & Reporting

Maintain records for a minimum of five (5) years from creation date and provide access during normal business hours.

Submit Certificate(s) of Analysis (COAs) for any destroyed batches within three (3) business days of destruction notice.

Immediately notify Envirocann of any potential noncompliance or changes in operations affecting compliance.

3. Inspections

Client permits on-site inspections with full access to all areas.

Envirocann may conduct unannounced inspections per its fee schedule.

Envirocann may utilize subcontractors for desk audits and site visits.

Client agrees to pay for any unannounced inspections and any required lab testing ($500 per test).

4. Certification Fees and Billing Cycle

Certification fees are non-refundable and due prior to certification being issued.

The billing date for each annual certification period begins at the time of contract execution and application submission—not the date certification is awarded. This ensures uninterrupted service and resource allocation.

Applicable fees include:
Site Inspection & Desk Audit: Up to $600 per site, annually.

EMP Support (Optional): 2 hours free, $135/hr thereafter.

Travel & Incidentals: Client covers all costs exceeding $600 per visit.

Lab Testing (if required): $500 per test.

5. Use of Certification Marks and Logos

The Client is granted a non-exclusive, non-transferable license to use Envirocann logos for certified products only.

All use must align with Envirocann branding standards and may be revoked upon noncompliance or contract lapse.

Upon certification expiration, the Client must cease logo use within 14 days unless renewed.

Continued use of the logos beyond this grace period constitutes a renewal commitment and full payment of applicable annual fees.

6. Marketing Deliverables (SameTeam Co)

Clients at the Full Certification tier receive access to marketing services provided by SameTeam Co.

These services are “use-it-or-lose-it” benefits, meaning unused services do not roll over month-to-month or to subsequent certification periods.

Service delivery is subject to availability and coordination. Quality is prioritized, but specific revisions are not guaranteed unless previously agreed upon.

7. Limitation of Liability – Logo & Marketing Use

Envirocann and SameTeam Co are not responsible for how logos, marks, or certification claims are used by Clients in marketing, packaging, or promotional efforts.

Clients accept full liability for all claims made using certification references, including on physical packaging, digital marketing, or point-of-sale materials.

Any misuse of logos or inaccurate claims may result in revocation of certification and legal action under applicable laws.

8. Suspension or Revocation

Certification may be suspended or revoked due to:

Pesticide or chemical residue exceeding regulatory thresholds.

Failure to comply with program requirements.
Intentional application of prohibited substances.

In such cases, Client must immediately cease making certification claims.

9. Privacy Policy

We respect your privacy. Any data shared with Envirocann is used solely for the purposes of certification, compliance, marketing support, and internal recordkeeping. We do not sell or share client data with third parties outside of affiliated services or regulatory partners unless required by law.

10. Modifications

Envirocann reserves the right to update or modify these Terms & Conditions at any time. Continued use of certification marks or participation in certification services implies acceptance of the most current version.
